Scope
This Supplier Agreement governs your relationship with Barber Collectives as a supplier of goods, manufacturing, fulfillment, or related services. It supplements any individual purchase order or statement of work.
Independent Contractor
You are an independent contractor. Nothing in this Supplier Agreement creates an employment, agency, partnership, or joint-venture relationship.
Purchase Orders
Each purchase order ("PO") issued by Barber Collectives and accepted by you forms a binding contract on the terms of this Supplier Agreement and the PO. Where a PO and this Supplier Agreement conflict, the PO controls only for the specific PO in question.
Specifications, Quality, and Compliance
You will deliver goods and services that conform to the agreed specifications, free from defects in materials and workmanship, and in compliance with all applicable laws, regulations, certifications, and safety standards. You will maintain quality-control processes appropriate for the goods supplied.
Pricing, Invoicing, and Payment
Pricing and payment terms are as set out in each PO or as agreed in writing. You will invoice through the supplier workspace where one is provided. Payment is subject to receipt of conforming goods and a valid invoice.
Delivery and Risk
Unless otherwise agreed, delivery terms are DDP to the address specified in the PO. Risk of loss passes on delivery. Delays must be communicated promptly.
Confidentiality
Designs, specifications, pricing, roadmaps, customer data, dashboards, and other non-public information shared by Barber Collectives are confidential and may only be used to perform the PO.
Intellectual Property
Specifications, designs, branding, and content provided by Barber Collectives remain owned by Barber Collectives. Custom work commissioned by Barber Collectives is owned by Barber Collectives. You retain ownership of your pre-existing tools and know-how and grant Barber Collectives a license to use them as needed to receive the goods and services.
Warranties and Recalls
You warrant that goods will conform to specifications and be free from defects for the period stated in the PO or, if none, for twelve months from delivery. You will cooperate in any recall at your expense if the recall is caused by your non-conformance.
Insurance
You will maintain commercial general liability, product liability, and workers' compensation insurance in amounts reasonable for the goods and services provided.
Termination
Either party may terminate for material breach not cured within thirty days of written notice. Barber Collectives may terminate for convenience on the notice period described in the PO; in that case Barber Collectives will pay for conforming goods already produced or in production at the time of notice.
Limitation of Liability
Except for indemnification obligations, breaches of confidentiality, or willful misconduct, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.
Changes
We may update this Supplier Agreement. Material changes will be reflected by a new version and effective date in the Legal Center.
